Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and Ace (“Ace,” “we,” or “us”) governing your access to and use of the Ace website, applications, AI tutor, practice content, and related services (collectively, the “Service”). By creating an account, clicking a box indicating acceptance, or accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Ace provides ACT test-preparation tools that may include a personalized study plan, AI-generated lessons delivered on a shared whiteboard, practice questions, practice tests, and related educational content. The Service is currently offered free of charge as a beta release. Features, availability, and pricing are subject to change without notice.

2. Eligibility and accounts

  • You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and involvement of a parent or legal guardian, who agrees to these Terms on your behalf.
  • You may create only one account per person, and you must provide accurate information. You are responsible for all activity that occurs under your account and for maintaining the security of the credentials you use to sign in.
  • We may refuse, suspend, or terminate access for any user at any time in our sole discretion, including without notice, for conduct that violates these Terms or that we believe is harmful to other users, to us, or to third parties.

3. Acceptable use

You agree not to:

  • Scrape, reverse engineer, decompile, disassemble, or otherwise attempt to derive or access the source code, underlying ideas, or algorithms of the Service.
  • Copy, redistribute, publicly display, create derivative works from, or commercially exploit any lessons, passages, questions, explanations, or other content generated or provided by the Service, in whole or in part.
  • Use the Service, including the AI tutor, to generate, store, or distribute content that is illegal, harmful, defamatory, obscene, harassing, hateful, or infringes the rights of any third party.
  • Probe, scan, attack, or disrupt the Service or its underlying infrastructure, including via rate-limit bypass, automated high-volume requests, prompt-injection techniques intended to manipulate the AI into unsafe behavior, or the uploading of malicious code.
  • Use the Service to train or fine-tune a competing machine- learning model, or to benchmark the Service against another product without our prior written consent.
  • Use bots, automated tools, or accounts created in bulk to access or create data in the Service.
  • Violate any applicable law or regulation, or encourage any third party to do so.

We reserve the right to monitor compliance with these rules and to take any action we reasonably believe is appropriate, including content removal, rate-limiting, account suspension, and account termination.

4. Your content

“Your Content” means the inputs you submit to the Service, for example, messages you send to the AI tutor, answers you record, notes, and drawings you produce on a whiteboard. You retain ownership of Your Content. By submitting Your Content to the Service, you grant Ace a worldwide, royalty- free, non-exclusive, sublicensable license to host, store, reproduce, display, adapt, process, and transmit Your Content as reasonably necessary to provide, secure, and improve the Service. You represent and warrant that you have all rights necessary to grant this license and that Your Content does not infringe any third-party right.

5. Our content and intellectual property

The Service, including its software, visual design, trademarks, text, audio, lessons, passages, questions, explanations, and any AI-generated outputs returned to you, is owned by Ace or its licensors and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own, non-commercial ACT-preparation purposes. All rights not expressly granted are reserved.

6. AI-generated output

The Service uses artificial-intelligence systems to produce lesson content, tutor responses, explanations, and voice narration. AI output is probabilistic; it can be incorrect, incomplete, or misleading. You are responsible for independently verifying any information you rely on for academic or real-world decisions. Ace does not represent AI output as authoritative and expressly disclaims any warranty that AI output is accurate, reliable, or appropriate for your particular purpose.

7. Third-party services

The Service relies on third-party service providers for cloud infrastructure, authentication, large-language-model inference, speech synthesis, analytics, and other functions. Your use of the Service may be subject to those providers' own terms and privacy policies, and we are not responsible for their acts or omissions.

8. ACT and third-party trademarks

Ace is not affiliated with, endorsed, sponsored, or approved by ACT, Inc. or any other test-publishing organization. “ACT” is a trademark of ACT, Inc. References to the ACT exam are nominative and are used solely for identification and educational purposes. All practice materials are produced independently; they are not copied or derived from official ACT materials and should not be used as a substitute for official preparation materials when preparing for the actual exam.

9. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, statutory, or otherwise. Ace specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Ace does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components, that defects will be corrected, that AI output will be accurate, or that the Service will improve your ACT score.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

In no event shall Ace, its affiliates, or its or their directors, officers, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Ace has been advised of the possibility of such damages.

In no event shall Ace's aggregate liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the amount, if any, you paid to Ace in the twelve months preceding the event giving rise to the claim, or (b) fifty U.S. dollars (US$50).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ace and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.

12. Termination

You may stop using the Service at any time and delete your account from Profile → Delete account. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including for violation of these Terms. Upon termination, the rights granted to you under these Terms will immediately cease; Sections 4, 5, and 9 through 14 will survive.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction and venue of those courts.

You and Ace each agree that any claim must be brought in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. You and Ace waive any right to a trial by jury.

14. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will notify you (for example, by email or via the Service) and, where required, ask you to re-accept. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.

15. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ace concerning the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them freely.
